1. Acceptance of Terms

By downloading, installing, or using the shopMITRA application ("App"), you ("User", "you", "shopkeeper") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

These Terms constitute a legally binding agreement between you and ClearedCircle TechPlatforms Private Limited ("ClearedCircle", "we", "us"), CIN U62099MR2026PTC476767, Innov8 Q Parc GEN, Ghansoli, Navi Mumbai, Maharashtra, India.

2. Description of Service

shopMITRA is a voice-first AI assistant designed for small retail (kirana) shop owners. The App allows you to:

  • Record and manage inventory through voice commands
  • Track sales and stock levels
  • Receive low stock alerts
  • Get business suggestions

shopMITRA is currently in beta / pilot phase. Features may change, and the service may be interrupted without notice during this phase.

3. Eligibility

You must:

  • Be 18 years of age or older
  • Be operating a legitimate retail business in India
  • Have been invited to the pilot programme by ClearedCircle
  • Have a valid Indian mobile number

4. Registration and Account

  • You must provide accurate information during registration
  • You are responsible for maintaining the security of your account
  • One account per shop / mobile number
  • You must notify us immediately if you suspect unauthorised access to your account

5. Use of the Service

5.1 Permitted Use

You may use shopMITRA solely for managing your own retail business inventory and operations.

5.2 Prohibited Use

You must not:

  • Use the App for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or tamper with the App
  • Use the App to store or transmit harmful, illegal, or offensive content
  • Share your account credentials with third parties
  • Attempt to access other users' data
  • Use the App to conduct any business other than your registered shop

6. Voice and AI Features

  • The App uses voice recognition powered by Sarvam AI and natural language processing powered by OpenAI
  • AI responses are generated automatically and may not always be accurate
  • You are responsible for verifying all inventory data entered through voice commands
  • ClearedCircle is not responsible for business decisions made based on AI suggestions

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection and processing of your data as described in the Privacy Policy.

8. Intellectual Property

  • shopMITRA, the Mitra orb, MITRA Series, and ClearedCircle are trademarks of ClearedCircle TechPlatforms Private Limited
  • All software, design, and content in the App is owned by ClearedCircle
  • You are granted a limited, non-exclusive, non-transferable licence to use the App for your business purposes
  • You retain ownership of your inventory data

9. Pilot Programme Terms

During the pilot phase:

  • The service is provided free of charge
  • ClearedCircle may modify, suspend, or terminate the service at any time
  • ClearedCircle may use anonymized, aggregated data from your usage to improve the product
  • You may be asked to provide feedback to help improve the service
  • Transition to a paid service (if any) will be communicated with at least 30 days notice

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEAREDCIRCLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Accuracy of AI-generated responses or suggestions
  • Uninterrupted or error-free operation
  • Fitness for any particular purpose
  • Accuracy of inventory data (you are responsible for verification)

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEAREDCIRCLE SHALL NOT BE LIABLE FOR:

  • Any loss of business, profits, or revenue
  • Any loss of data
  • Any indirect, incidental, or consequential damages
  • Any decisions made based on AI suggestions from the App

Our total liability to you for any claim shall not exceed INR 1,000 (Rupees One Thousand only).

12. Termination

By you: You may stop using the App and delete your account at any time from the Profile screen.

By us: We may suspend or terminate your access if you violate these Terms, or at our discretion during the pilot phase with reasonable notice.

Upon termination, your personal data will be deleted in accordance with our Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

For any disputes, you must first contact us at contact@clearedcircle.com and attempt resolution within 30 days before initiating legal proceedings.

14. Changes to Terms

We may update these Terms. We will notify you through the App at least 7 days before changes take effect. Continued use after notification constitutes acceptance.
